What should you know about investing in early-stage startup companies?

Participating in early-stage startup investment involving equity means you own a piece of that company until it makes an 'exit'. A liquidity event such as getting purchased by another company, selling shares on a public stock market (known as an initial public offering, or IPO), or bankruptcy are common exit scenarios. This means startup investing is one of the potentially most rewarding, and most risky, ways to invest your money. The odds are that most startups will not grow to become icons of an era, like Google, Facebook, or Apple. The truth is, there are numerous respectable but quiet exits, and many failures. That's why due diligence in the accelerator portfolio client of your interest is so important for any level of investor, whether you’re accredited or not. Investors need to be as well versed, informed and confident in their decisions as possible. Losing some or all of your investment is a very real possibility.

What is the difference between Reg A+, Reg CF and Reg D investors?

The SEC has only recently allowed crowd investors to get access to private investments thanks to Reg CF and Reg D of the 2012 JOBS Act, which also allowed companies to solicit accredited investors publicly through changes to Reg D. Before the jumpstart, our business companies (JOBS) Act of 2012, private companies who wanted to raise capital had to solicit investments via private channels. The JOBS Act quickly allowed privately held companies to solicit investments on public platforms like the internet. Only accredited investors (individuals of a certain income and net worth threshold) had access to those investments until the SEC formalized rules for a portion of the law called Title III (Reg CF) and Title IV (Reg A+). Title III & Title IV allow people of any income to invest in companies.

How does the Onboarding Setup work?

Onboarding is designed for self-help, meaning customers can onboard without assistance. After signing the ImpactRaise agreement, a designated contact with control of domain records must access CNAME record must make a change with URL details provided by ImpactRaise. This is typically done using the control panel of the DNS hosting the website domain. After the redirect URL should be the domain plus the white-label path of the offering. This is what the investor will be redirected to when they hit the domain. All header logos and icons will reflect your branding. 

ImpactRaise can provide onboarding services for an extra fee and can assist with colors and fonts according to your requests. We can also add to the white-label platform your copy, icons, and images. The plan doesn't include copywriting, custom graphics (offered with the Custom Assets quote), and custom components If you'd like, we can also take components from 3rd party providers. You should send us an email with logo files, colors, fonts, and any other information relevant to your website right after the purchase to onboarding@impactraise.com. The process can take up to two working days.

How does the Custom White-label Setup Service work?

In addition to the onboarding setup fee, we can enable our white-label click-to-invest functionality directly on your organization’s homepage for a one-time charge of $1,000. Your organization must provide the ImpactRaise team with marketing assets in order for us to match your brand identity – this includes (but is not limited to) logos, icons, illustrations, mockups, etc. This plan does not include logo design, video or asset creation, copywriting or any web development/layout changes to your homepage. Once you have made your purchase, you will need to send us an email with any other information relevant to your website including headlines, desired CTAs, placement specifics and anything other elements that our technical team may need. You will get the first draft typically within three to five business days following your purchase.

How Do I Purchase A Member’s Token?

Each eligible offering campaign will display the Member’s Token icon to indicate they are participating in the Member’s Token program. This icon is located next to the Invest button on the companies offering page. To secure bonus shares, invest in company offerings qualified and registered for the Member’s Token program.

How do I receive my Member’s Token NFT?

When you purchase an ImpactRaise Member’s Token subscription you will receive an NFT (Non-Fungible Token) badge proving verified ownership of this exclusive token on the Ethereum Blockchain. You must provide a valid wallet address to receive your NFT. Shortly after purchasing, your NFT (ERC1155) will transfer to your crypto wallet. If you purchase with a credit card, and do not want to receive your exclusive NFT which unlocks access to value over the lifetime of your account, you can decline at point of purchase.

If you don’t have an ETH crypto wallet and want to set one up, please follow/double-check these steps if you are not familiar with blockchain transactions to verify successful transfer: 

1.) Provide the ImpactRaise team member your public ETH wallet address. MetaMask is the preferred wallet, and you can find steps to do so here.

2.) Make sure you have enough ETH to pay for the transaction including GWEI (gas fees).

3.) The ImpactRaise team will send the Member’s Token (NFT)to the public address you provided and will provide proof via Etherscan.

4.) We recommend you use the MetaMask Mobile App, because NFTs are not currently visible on the Chrome browser extension for MetaMask.

5.) To verify, select Collectibles → Add Collectibles (If you do not already see your NFT in your wallet).

6.) If still uncertain the transfer was successful, enter the NFT address and collectible ID and your NFT will appear under the Collectibles tab on your MetaMask wallet.

What is the ImpactRaise Member’s Token?

The ImpactRaise Member’s Token is a membership-based program that grants exclusive benefits to investors who purchased access and completed the process to received the Member’s NFT. This NFT (non-fungible token) means the unique identity and ownership of the token have been verified on the Ethereum blockchain. This token unlocks benefits to member investors such as:

1.) Earn up to 10% more on your contributions in bonus eligible offerings.

2.) Get the inside story on bonus eligible offering launches before they post publicly on ImpactRaise.

3.) Secure priority access on the waitlist for offering campaigns that exceeded their maximum raise target.

How Does the Member’s Token Subscription Work?

When you purchase an ImpactRaise Member’s Token you will receive an NFT (Non-Fungible Token) proving verified ownership of this exclusive token on the Ethereum Blockchain. Which companies participate in the Member’s Token program?

Companies who sign up for the ImpactRaise equity crowdfunding platform can elect to opt in and participate in the Member’s Token program. Important: Not all offerings are eligible for the membership program. Each eligible offering campaign will display the Member’s Token icon to indicate they are participating in the Member’s Token program. This icon is located next to the Invest button on the companies offering page.

How long does the membership last?

The ImpactRaise Member’s Token is a membership-based subscription program that is active one year from the point of purchase. The Member’s Token program will auto renew every year. Each year you will be awarded a new NFT badge representing how long you’ve been a member. If you choose to cancel your Member’s Token subscription, it will expire at the end of that year’s eligibility period.

Does the impactRaise Member's token give me shares in impactRaise?

No. The ImpactRaise Member’s Token is a standalone subscription product that includes an array of unique NFTs that follow a rarity schema as well as special privileges on eligible offerings you choose to invest in. What if I purchased my Member’s Token subscription NFT through a secondary market like OpenSea or Rarible.com?

You still need to create an account on ImpactRaise.com and buy your own Member’s Token subscription for $299. When setting up your account, you’ll want to include the URL to your NFT as well as your public crypto wallet ID address. This is important if you purchased a rare edition NFT that grants you access to special privileges beyond the standard membership, this is how we verify and upgrade your account.

How do i cancel the member's token membership?

There is no cancellation policy with the ImpactRaise Member’s Token subscription, and you are not entitled to a full or partial refund after purchase. The membership is set to auto-renew annually. If you wish to opt out of that auto-renewal, please email our team here. Once you optout, your Member’s Token access will terminate at the end of your year’s eligibility period.
